TERMS, WARRANTY & PURCHASE AGREEMENT

INNOVA LED CORP. (“Company,” “we,” “our,” or “us”) is committed to high-quality professional lighting systems. By purchasing INNOVA products, the buyer (“you”) agrees to the following terms, assumes associated risks, and acknowledges the hardware warranty provisions outlined below.

1. Product Disclosure
INNOVA systems are ETL and UL certified, ensuring compliance with environmental, electrical, and material safety standards. Compliance with local codes, regulations, or permitting requirements is the responsibility of the buyer. INNOVA makes no guarantee that products will satisfy all local requirements in every jurisdiction.

2. Customer Acknowledgment & Assumption of Risk
By purchasing, installing, or using INNOVA products, you assume full responsibility for compliance with all applicable electrical, safety, and building regulations. Installation, operation, and maintenance must follow professional standards. INNOVA, its affiliates, officers, employees, and agents are not liable for personal injury, property damage, loss, or fines resulting from:

Improper installation or maintenance

Misuse, abuse, or unauthorized modifications

Failure to comply with local laws or regulations

3. Hardware Warranty
All INNOVA hardware purchases include a 1-Year Limited Manufacturer Warranty from date of purchase, with an optional extended INNOVA Membership that renews annually until canceled. Coverage applies to LED Controllers, Power Supplies, and 30mm LED Light Strings.

3.1 Coverage

Defects in materials or workmanship

Hardware malfunction under normal use and installation per INNOVA guidelines

3.2 Exclusions
Warranty does not cover:

Improper installation, wiring, or voltage misuse

Water damage or environmental abuse
-
Physical damage, impact, or unauthorized modifications
-
Normal wear, cosmetic damage, or misuse

3.3 Claim Process

Contact info@InnovaLED.ca with proof of purchase and, for LED strings, photos or videos of the defect.

INNOVA may require return of defective hardware before replacement.

Customer pays shipping for returning defective items and for replacements.

INNOVA inspects the item and ships replacement or repaired units per policy.

3.4 Extended Protection (INNOVA Membership)

Extends warranty beyond the initial 1-year period on an annual recurring basis while active

Immediate termination of coverage if membership is canceled

Includes continued defect protection and priority support

4. Intended Use, Training & System Integrity
INNOVA products are intended for professional and personal applications. Installation should be performed by qualified individuals familiar with electrical systems, local codes, and safety standards.
Starter kits include live virtual training and mentorship. Unauthorized modifications, repairs, or use of non-INNOVA components void warranties and may compromise safety, performance, or certification compliance.

5. Intellectual Property & Restrictions
All software, firmware, documentation, designs, and INNOVA intellectual property remain the exclusive property of INNOVA. Buyers are granted a limited, non-transferable license for personal or professional use only.
You may not reverse-engineer, decompile, reproduce, distribute, resell, or sublicense INNOVA IP. INNOVA reserves the right to terminate licenses for violations.

6. Certification, Updates & Product Changes
INNOVA maintains ETL, UL, and RoHS compliance and may update firmware, products, or features periodically for functionality, security, and system integrity. INNOVA reserves the right to modify products, services, or pricing without prior notice.

7. Limitation of Liability
To the maximum extent permitted by law, INNOVA provides products “as is” and disclaims all warranties not explicitly stated, including:

Merchantability or fitness for a particular purpose

Non-infringement of third-party rights

Continuous, error-free, or uninterrupted operation
INNOVA is not liable for direct, indirect, incidental, consequential, punitive, or special damages arising from purchase, installation, or use, including lost profits, business interruption, or property damage.

8. Governing Law & Dispute Resolution
These terms are governed by the laws of Canada, without regard to conflict of laws. Disputes shall be resolved exclusively through binding arbitration under the Canadian Arbitration Association, except to enforce arbitration decisions in court.

9. Acceptance of Terms
By completing a purchase, the buyer acknowledges they have read, understood, and agreed to all terms, including risk assumptions, liability limitations, and intellectual property protections.
